Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and SpiderNine Technologies Limited ("SpiderNine," "we," "us," or "our") regarding your use of our agentic AI platform and related services.

1. Service Description

SpiderNine provides an agentic AI platform that enables autonomous execution of business tasks including research, sales, support, and operational functions. Our services include:

• AI agent deployment and management
• Task automation and workflow orchestration
• Integration with third-party systems and APIs
• Analytics, monitoring, and reporting tools
• Customer support and professional services

2. Account Registration and Access

2.1 Account Creation

• You must provide accurate and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized access to your account
• One person or legal entity may not maintain multiple accounts

2.2 Eligibility

• You must be at least 18 years old to use our services
• You must have the legal authority to enter into this agreement
• Your use must comply with all applicable laws and regulations

3. Acceptable Use Policy

3.1 Permitted Uses

You may use our services for legitimate business purposes in accordance with these Terms and applicable laws.

3.2 Prohibited Uses

You agree not to use our services to:

• Violate any applicable laws, regulations, or third-party rights
• Generate harmful, illegal, or malicious content
• Attempt to reverse engineer, decompile, or hack our systems
• Interfere with or disrupt our services or servers
• Use our services for competitive intelligence against SpiderNine
• Transmit viruses, malware, or other harmful code
• Engage in fraudulent or deceptive practices
• Violate the privacy or rights of others

4. Data and Privacy

4.1 Your Data

• You retain ownership of all data you provide to our services
• You grant us necessary rights to process your data to provide our services
• You are responsible for ensuring you have rights to any data you provide
• You must comply with applicable data protection laws

4.2 Data Processing

• We process your data in accordance with our Privacy Policy
• We implement appropriate security measures to protect your data
• We may use aggregated, anonymized data for service improvement

5. Intellectual Property

5.1 SpiderNine IP

• We retain all rights to our platform, technology, and intellectual property
• You receive a limited, non-exclusive license to use our services
• You may not copy, modify, or create derivative works of our platform

5.2 Customer IP

• You retain ownership of your intellectual property and data
• We do not claim ownership of content you create using our services
• You are responsible for any IP infringement claims related to your data

6. Payment Terms

6.1 Fees and Billing

• Fees are based on your selected plan and usage
• All fees are non-refundable unless otherwise specified
• We may change our pricing with 30 days' notice
• Overdue payments may result in service suspension

6.2 Taxes

• You are responsible for all applicable taxes
• Fees are exclusive of taxes unless otherwise stated

7. Service Availability and Support

7.1 Service Level

• We target 99.9% uptime for our services
• Scheduled maintenance will be announced in advance
• We provide customer support during business hours

7.2 Service Modifications

• We may modify or discontinue features with reasonable notice
• We will provide migration assistance for discontinued features

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR LIABILITY IS LIMITED TO THE FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
• WE DO NOT WARRANT THAT OUR SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED
• YOU USE OUR SERVICES AT YOUR OWN RISK

9. Indemnification

You agree to indemnify and hold SpiderNine harmless from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of applicable laws
• Infringement of third-party rights by your data or content

10. Termination

10.1 Termination by You

• You may terminate your account at any time
• Termination does not relieve you of payment obligations
• We will provide data export capabilities upon request

10.2 Termination by Us

• We may terminate for breach of these Terms
• We may terminate with 30 days' notice for convenience
• We may suspend services immediately for security reasons

11. Governing Law and Disputes

• These Terms are governed by the laws of [Jurisdiction]
• Disputes will be resolved through binding arbitration
• You waive the right to participate in class action lawsuits

12. General Provisions

12.1 Entire Agreement
